Strategy Inc (NASDAQ:MSTR) experienced a significant increase alongside Bitcoin. This uptick in cryptocurrency values followed a meeting at the White House with key industry leaders. Additionally, the Treasury Department’s plans for extensive bond buybacks led to lower long-term interest rates and put pressure on the dollar.
Yet, it’s essential to note that Strategy Inc (NASDAQ:MSTR) is not merely a leveraged Bitcoin investment vehicle. As of July 26, the firm owned 843,775 Bitcoin, but it offloaded 1,638 Bitcoin from July 27 to August 2, and another 1,690 from August 3 to August 9, resulting in a remaining balance of 840,447 Bitcoin. At Wednesday’s Bitcoin market price, this holding was valued at around $57.5 billion, representing gross asset value rather than the net value for common shareholders.
Positive Outlook: Access to Capital Markets Could Boost Bitcoin Value Per Share
Issuing additional shares can enhance the Bitcoin value per share only when new Bitcoin is acquired for each newly issued diluted share at a rate greater than the existing ratio. Simply issuing shares above net asset value does not guarantee this outcome; the results are dependent on the total shares and how funds are utilized. Strategy Inc (NASDAQ:MSTR) revealed that its internal metric for Bitcoin per share saw a 5% rise in the second quarter, reaching 210,824 satoshis.
By August 16, Strategy Inc (NASDAQ:MSTR) reported having $4.80 billion in reserve, which includes funds pending from at-the-market offerings. This reserve acts as a cushion against required interest payments on debts and preferred dividends when declared. It’s worth noting that the terms vary among preferred stock issues, including some with cumulative features. Such liquidity helps lessen reliance on favorable Bitcoin trends or capital market conditions in the short term.
Negative Outlook: Dilution and Senior Obligations Complicate Gains
In May, Strategy Inc (NASDAQ:MSTR) disclosed $6.7 billion in total convertible principal and a $15.5 billion preferred stock notional amount. By June 30, the preferred equity had a carrying value of $14.44 billion and a liquidation preference of $15.46 billion, with share repurchases commencing post-quarter. These obligations take precedence over common equity when evaluating basic share value.
For shareholders, the issuance of common stock remains the most evident cost. The company successfully sold 6.59 million shares for about $653 million from August 3 to August 9. Following this, an additional 3.459 million shares were sold for $333.7 million during August 10-16, alongside the repurchase of $132.2 million in STRC preferred stock. While issuing shares can enhance reserves or reduce senior obligations, it does lead to dilution for current shareholders.
The company’s financial setup also makes valuation particularly sensitive to the chosen methodology. A consistent method for evaluating basic shares in Strategy Inc (NASDAQ:MSTR) would involve adding up the Bitcoin reserves, cash reserves, and other net assets, then subtracting convertible debts, preferred liquidation preferences, and other liabilities. The resulting value would then be allocated across basic common shares. If this approach is mixed with consideration of converted shares, it may inadvertently double-count certain aspects of the capital structure.
