As stipulated in the LOI, the agreed-upon acquisition cost is approximately $700,000, which will be fulfilled entirely through a cash payment after standard adjustments. A 30-day due diligence process is now underway. Assuming the successful completion of this diligence, negotiation of the definitive agreements, and procurement of customary approvals, all parties anticipate finalizing the deal on or before October 19th, 2025.
